1. Introduction

Welcome to A2Zapp LLC, a Texas-based company specializing in branding and web development services. These Terms and Conditions ("Terms") govern your use of our services and website. By engaging with A2Zapp LLC, you agree to be bound by these Terms. If you do not agree to any of these Terms, you must refrain from using our services.

2. Definitions

  • Client: Any individual or entity engaging A2Zapp LLC for services.
  • Services: All branding, web development, design, and associated consulting services provided by A2Zapp LLC.
  • Deliverables: The final output or products delivered to the Client as part of the agreed Services.
  • Agreement:A legally binding contract between the Client and A2Zapp LLC outlining the scope of Services, pricing, and deadlines.

3. Scope of Services

A2Zapp LLC provides:

  • Branding services, including logo design, brand strategy, and identity development.
  • Web development services, including website design, development, and maintenance.
  • Digital marketing support, such as SEO, social media management, and content creation.
  • Consultation on technology and branding strategies.

The exact scope of Services will be detailed in a separate Agreement specific to each project.

4. Client Responsibilities

The Client agrees to:

  • Provide clear and complete project requirements, content, and materials in a timely manner.
  • Respond to communications promptly to avoid delays.
  • Ensure all materials provided to A2Zapp LLC do not infringe on third-party rights or violate any laws.

5. Payment Terms

  • Payment schedules and amounts will be outlined in the Agreement.
  • A deposit of [percentage or fixed amount] is required to initiate Services.
  • Final payment is due upon project completion and delivery of the agreed Deliverables.
  • Late payments may incur additional fees, as outlined in the Agreement.

6. Revisions and Approval

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary or sensitive information shared during the course of the project.

9. Warranties and Disclaimers

  • A2Zapp LLC warrants that the Services will be performed in a professional and workmanlike manner.
  • We do not guarantee specific results, such as increased traffic or sales, unless explicitly stated in the Agreement.
  • The Client agrees to use the Deliverables at their own risk.

10. Limitation of Liability

To the maximum extent permitted by law, A2Zapp LLC shall not be liable for any indirect, incidental, or consequential damages arising out of or related to the Services.

11. Termination

  • Either party may terminate the Agreement upon written notice.
  • If terminated by the Client, A2Zapp LLC is entitled to payment for all work completed up to the termination date.
  • If terminated by A2Zapp LLC due to Client’s breach of these Terms, the Client will forfeit any deposit paid.

12. Governing Law

These Terms and any disputes arising under them shall be governed by and construed in accordance with the laws of the State of Texas.

13. Amendments

A2Zapp LLC reserves the right to modify these Terms at any time. Clients will be notified of significant changes, and continued use of our Services constitutes acceptance of the updated Terms.

14. Entire Agreement

These Terms, along with any signed Agreement, constitute the entire agreement between the Client and A2Zapp LLC and supersede any prior understandings or agreements, written or oral.
